Confidentiality Undertaking — between Sooner Real Estate LLC, a limited liability company incorporated in the United Arab Emirates ("Sooner"), and the person accessing this data room (the "Recipient").
1 · Purpose. Sooner grants the Recipient access to this data room solely to evaluate a potential investment in, or transaction with, Sooner (the "Purpose").
2 · Confidential Information. All materials made available in this data room, in any form — presentations, financial models, projections, commercial terms, technology descriptions and analyses — together with the existence and status of discussions.
3 · Obligations. The Recipient shall (a) keep the Confidential Information strictly confidential; (b) use it only for the Purpose; (c) not disclose it to any third party without Sooner's prior written consent; (d) not copy, download, photograph or reproduce any part of it except as expressly permitted within the data room; and (e) limit internal disclosure to advisers who need it for the Purpose and are bound by obligations no less strict than these.
4 · Exclusions. These obligations do not apply to information that (a) is or becomes public through no fault of the Recipient; (b) was lawfully known to the Recipient before disclosure; (c) is independently developed without use of the Confidential Information; or (d) must be disclosed by law, regulation or court order, provided the Recipient gives Sooner prompt written notice where lawful.
5 · No licence, no offer. Nothing in this data room grants any intellectual-property rights or constitutes an offer, solicitation or investment advice. The Confidential Information is provided "as is" without warranty.
6 · Return and destruction. On Sooner's request the Recipient shall promptly delete or destroy all Confidential Information in its possession, save where retention is required by law.
7 · Access logging. The Recipient acknowledges that access is logged (viewer identity, pages viewed, time spent) and that pages may carry identifying watermarks.
8 · Term. These obligations start on acceptance and continue for three (3) years after the Recipient's last access to the data room.
9 · Remedies. Unauthorised disclosure may cause irreparable harm; Sooner may seek injunctive relief in addition to any other remedy available to it.
10 · Governing law. This undertaking is governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and the courts of Dubai have exclusive jurisdiction.
11 · Electronic acceptance. Ticking the box and continuing constitutes the Recipient's valid electronic acceptance under UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services.
